Terms of Service

The terms that govern your use of Oriqon Technologies's website and services.

Effective: 1 June 2025

Acceptance of Terms

By accessing our website or engaging Oriqon Technologies for services, you agree to be bound by these Terms of Service. If you do not agree, please do not use our website or services.

These terms govern the relationship between Oriqon Technologies ("we", "us", "our") and you ("client", "you"). Additional terms may apply to specific services and will be documented in a separate Statement of Work or Service Agreement.

Services

Oriqon Technologies provides software, SaaS, mobile app and AI development services including but not limited to:

Custom software and web application development

SaaS platform design and engineering

Mobile app development (iOS & Android)

AI, machine learning and data engineering

UI/UX and product design

Cloud, DevOps, QA and ongoing maintenance & support

The specific scope of services, deliverables, timeline and fees for each engagement will be agreed in a written proposal or Statement of Work signed by both parties.

Payment Terms

Unless otherwise agreed in a signed Statement of Work, our standard payment terms are:

50% deposit required before project commencement

Remaining balance due upon delivery of final files

Monthly retainer services invoiced at the start of each billing period

Payment due within 14 days of invoice date

Late payments accrue interest at 8% above the Bank of England base rate (per Late Payment of Commercial Debts Act)

We reserve the right to pause or suspend work on projects with outstanding invoices beyond 30 days until payment is received.

Intellectual Property

Ownership of the delivered software and work product is transferred to the client upon receipt of full payment. Prior to full payment, all work product remains the intellectual property of Oriqon Technologies.

Oriqon Technologies retains the right to:

Display completed work in our portfolio, case studies and marketing materials

Credit ourselves in published work unless otherwise agreed in writing

Retain and archive copies of deliverables for internal reference

Any third-party assets used in our work (stock photography, fonts, plugins) are subject to their own licences. We will inform clients of any licensing requirements that may affect their use of deliverables.

Revisions & Feedback

Each project includes a number of revision rounds as specified in the Statement of Work. Revisions are changes to the approved scope; additional revisions or scope changes may incur additional fees.

To ensure efficient revisions:

All feedback should be consolidated from all stakeholders before submission

Feedback should be specific, referencing specific elements to be changed

We operate a 48-hour turnaround for standard revisions

Conflicting instructions from multiple stakeholders will be resolved with the primary contact

Cancellation & Termination

Either party may terminate an engagement with 14 days' written notice. Upon termination:

All work completed to date is billable at the agreed project rate

Any deposit paid is non-refundable if work has commenced

Final deliverables for completed phases will be provided upon receipt of payment

Client must not use any incomplete or unpaid-for work

For retainer agreements, either party may terminate with 30 days' written notice at the end of any billing period.

Limitation of Liability

To the maximum extent permitted by law, Oriqon Technologies's liability for any claim arising from our services is limited to the total fees paid by you in the 3 months preceding the event giving rise to the claim.

We are not liable for:

Indirect, consequential or incidental losses

Loss of profits, revenue or business opportunities

Losses arising from third-party platform changes (social media algorithm changes, Google updates, etc.)

Delays caused by client failure to provide required materials, approvals or feedback

Governing Law

These Terms of Service are governed by the laws of England and Wales. Any disputes arising from or related to these terms or our services shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We encourage resolution of disputes through direct communication first. If a resolution cannot be reached within 30 days, either party may pursue legal remedies.
